Terms of Use

Please read these terms carefully before using the DealBridge escrow marketplace.

1. Acceptance of Terms

These Terms of Use ("Terms") govern your use of the DealBridge mobile application ("App") and all related services ("Services") operated by Bhairayana Ventures LLP ("Company", "we", "us", or "our"), a limited liability partnership registered in India. By downloading, installing, or using the App, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the App. We may update these Terms from time to time. Continued use of the App after changes are published constitutes your acceptance of the updated Terms.

2. Eligibility

To use DealBridge, you must: • Be at least 18 years of age • Be a resident of India or legally permitted to transact under Indian law • Have a valid Indian mobile phone number capable of receiving OTP messages • Not be prohibited from using the Services under any applicable law By using the App, you represent and warrant that you meet all eligibility requirements. We reserve the right to terminate accounts that do not meet these requirements.

3. Account Registration

DealBridge uses OTP-based authentication via your registered Indian mobile number. No password is required. You are responsible for: • Keeping your mobile number secure and up to date • All activity that occurs under your account • Notifying us immediately at contact@bhairayanaventures.com if you suspect unauthorised access You may not create multiple accounts for the same person, impersonate another individual or entity, or use the App on behalf of another person without their explicit consent.

4. Description of Services

DealBridge is a peer-to-peer escrow marketplace that enables buyers and sellers to transact services securely. The Company acts solely as a facilitator and escrow intermediary — we do not deliver, guarantee, or take responsibility for the quality of services transacted between buyers and sellers. The platform facilitates: • Listing and discovery of services by verified sellers • Creation and execution of service agreements between buyers and sellers • Secure escrow payment holding via Razorpay • Release of payment to sellers upon buyer confirmation of delivery • KYC verification of sellers to maintain platform trust

5. Buyer Obligations

As a buyer on DealBridge, you agree to: • Review the service listing and agree to the service terms before placing an order • Make payment through the App only — off-platform payments are not protected by escrow • Confirm or dispute delivery within the timeframe specified in your agreement • Provide honest and accurate feedback through the dispute resolution process • Not attempt to obtain a refund through your bank or payment provider (chargeback) for services you have confirmed as delivered • Not use DealBridge to purchase illegal services, counterfeit goods, or services prohibited under Indian law

6. Seller Obligations

As a seller on DealBridge, you agree to: • Complete the full seller onboarding process, including KYC verification and bank account setup, before listing services • Provide accurate and truthful descriptions of all services you list • Deliver services as described in your listing and as agreed in the service agreement • Not solicit buyers to transact outside the App to avoid platform fees • Maintain the accuracy of your KYC documents and bank account information • Accept that payouts are subject to buyer confirmation of delivery and platform review • Not list services that are illegal, fraudulent, or violate any applicable Indian law • Comply with all applicable tax obligations. DealBridge does not withhold or remit taxes on your behalf — you are solely responsible for declaring income from transactions

7. Payments & Escrow

Payment Processing: All payments are processed through Razorpay Payments India Pvt. Ltd. By using the App, you agree to Razorpay's Terms and Privacy Policy. Payment Options: Buyers may choose to pay either: • A 20% Deposit: An initial deposit to start the order, with the remaining 80% due upon delivery • Full Payment: The complete service amount paid upfront Platform Fee: A platform fee of 1.5% is charged on the total service amount and is added to the buyer's payment at checkout. This fee is non-refundable once payment is processed. Escrow: All payments are held in escrow and are not released to the seller until the buyer confirms delivery. Seller Payout: Upon buyer confirmation of delivery, DealBridge manually processes the seller's payout. The net payout amount (after deducting the 10% platform commission) will be transferred to the seller's registered bank account within 3 business working days from the date of buyer confirmation. Refunds: Refunds are subject to the dispute resolution process outlined in Section 10. DealBridge does not guarantee refunds in all cases.

8. Fees & Commission

Platform Fee: Buyers are charged a 1.5% platform fee on the total order value. This fee is shown at checkout before payment is made. Seller Commission: DealBridge deducts a 10% commission from each completed order before processing the seller's payout. This commission covers platform operation, payment processing, and KYC compliance costs. Fee Changes: We reserve the right to modify our fees with 30 days advance notice communicated through the App or email.

9. KYC & Compliance

All sellers must complete identity verification (KYC) before they can receive payouts. This includes submission of: • PAN card details and photo • Aadhaar card details and photos KYC documents are reviewed by our team. We reserve the right to reject or revoke seller status if documents are found to be fraudulent, expired, or non-compliant with applicable Indian regulations. We comply with applicable anti-money laundering (AML) regulations and may report suspicious transactions to relevant authorities as required by law.

10. Dispute Resolution

If a buyer is not satisfied with a delivered service, they may raise a dispute through the App within the agreed delivery confirmation window. Process: 1. Buyer raises a dispute with details and evidence 2. DealBridge reviews the dispute and may request additional information from both parties 3. DealBridge makes a final decision which is binding on both parties 4. Depending on the outcome, the escrowed funds may be fully released to the seller, partially refunded to the buyer, or fully refunded to the buyer DealBridge's decision in a dispute is final and not subject to further review within the platform. Parties retain the right to seek legal remedies in courts of competent jurisdiction in India.

11. Prohibited Activities

You must not use DealBridge to: • Transact for illegal goods, services, or activities under Indian law • Commit fraud, impersonate others, or provide false information • Engage in money laundering or any financial crime • Circumvent or attempt to circumvent the escrow system • Harass, threaten, or abuse other users of the platform • Introduce malware, viruses, or harmful code into the App or its systems • Scrape, copy, or reverse engineer the App or its content • Create fake listings, fake reviews, or manipulate platform ratings • Use the App for any purpose that violates applicable laws or regulations

12. Intellectual Property

All content, design, code, trademarks, and branding within the DealBridge App are the exclusive property of Bhairayana Ventures LLP or its licensors. You are granted a limited, non-exclusive, non-transferable licence to use the App solely for its intended purpose. You may not copy, modify, distribute, sell, or create derivative works from any part of the App or its content without our prior written permission. User-generated content (such as service listings and descriptions) remains your property. By posting content on DealBridge, you grant us a worldwide, royalty-free licence to display, use, and moderate that content within the platform.

13. Limitation of Liability

To the maximum extent permitted by applicable Indian law: • DealBridge is provided "as is" and "as available" without any warranty of any kind • We do not warrant that the App will be uninterrupted, error-free, or free of viruses • We are not responsible for the quality, legality, or suitability of services transacted between buyers and sellers • Our total liability to you for any claim arising from use of the App shall not exceed the amount you paid in platform fees in the 3 months preceding the claim • We are not liable for indirect, incidental, consequential, or punitive damages

14. Termination

We reserve the right to suspend or terminate your account at any time for: • Violation of these Terms • Fraudulent or suspicious activity • Non-compliance with KYC requirements • Any other reason at our sole discretion with reasonable notice You may close your account at any time by contacting us at contact@bhairayanaventures.com. Outstanding obligations (pending orders, payouts, or disputes) must be resolved before an account can be fully closed.

15. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of India, including the Information Technology Act 2000 and applicable rules thereunder. Any disputes arising from these Terms or your use of the App shall be subject to the exclusive jurisdiction of the competent courts located in India. We encourage resolution of disputes through our in-app dispute resolution process (Section 10) before pursuing legal action.
